1. Services:

   a. Aumil and Associates provides professional consulting services in various fields, including but not limited to, business strategy, financial analysis, and organizational development.

   b. All services provided are subject to the terms agreed upon in the consulting contract between Aumil and Associates and the client.

2. Client Obligations:

   a. Clients must provide accurate and complete information relevant to the consulting services required.

   b. Clients are responsible for adhering to the timelines and deliverables agreed upon in the consulting contract.

3. Confidentiality:

   a. Aumil and Associates respects the confidentiality of all client information and will not disclose any confidential information to third parties without prior consent, except as required by law.

   b. Clients agree to maintain the confidentiality of any proprietary information provided by Aumil and Associates.

4. Intellectual Property:

   a. All intellectual property developed or provided by Aumil and Associates during the course of the consulting engagement remains the property of Aumil and Associates unless otherwise agreed upon in writing.

   b. Clients may not use, reproduce, or distribute any intellectual property provided by Aumil and Associates without prior written consent.

5. Fees and Payment:

   a. Clients are responsible for payment of all fees as outlined in the consulting contract.

   b. Payment terms are as agreed upon in the consulting contract. Failure to adhere to payment terms may result in suspension or termination of services.

6. Limitation of Liability:

   a. Aumil and Associates shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of our services.

   b. In no event shall our liability exceed the fees paid by the client for the services provided.

7. Termination:

   a. Either party may terminate the consulting engagement by providing written notice to the other party.

   b. Upon termination, the client shall pay any outstanding fees for services rendered up to the date of termination.

8. Governing Law:

   These Terms shall be governed by and construed in accordance with the laws of Texas, without regard to its conflict of law principles.

9. Amendments:

   Aumil and Associates reserves the right to amend these Terms at any time. Any amendments will be effective immediately upon posting on our website or providing notice to clients.

10. Entire Agreement:

   These Terms constitute the entire agreement between Aumil and Associates and the client and supersede all prior agreements and understandings, whether oral or written.
